Dresswell Terms of Service & Platform Policy

Version 1.0 · Effective 2026-10-09

Important notice. These Terms are a legally binding contract between you and DRESSWELL (THAILAND) Co., Ltd., registration no. 0115569032320, with its head office at 60/4 Moo 7, Bang Chalong Sub-district, Bang Phli District, Samut Prakan 10540, Thailand ("Dresswell", "we", "us"). They contain terms that limit our liability (Sections 10 and 11), require you to compensate us in certain cases (Section 12), and set a required process for disputes (Section 13). Please read them carefully. If you do not agree, do not tick the acceptance box and do not use the Platform.

1. Acceptance and electronic agreement

1.1 How you accept. By ticking the acceptance box and tapping "I Agree", you confirm that you have had the opportunity to read these Terms, that you understand them, and that you agree to be bound by them.

1.2 Legal effect. You agree that your acceptance is an electronic transaction and an electronic signature under the Electronic Transactions Act B.E. 2544 (2001), and that it has the same legal effect as a written contract signed by hand. You will not dispute the validity or enforceability of these Terms solely because they were made in electronic form.

1.3 Record of acceptance. We record the date and time of your acceptance, the version of the Terms accepted, your account identifier and device information. You agree that this record is admissible as evidence of your agreement.

1.4 Access to the Terms. The current version of these Terms is available at any time in the app under [Settings > Legal]. You may save or print a copy.

1.5 Separate documents. The [Privacy Policy], the [Cancellation and Refund Policy] and the [Community Guidelines] form part of these Terms. Consent to the processing of personal data, where required, is requested separately.

3. Eligibility and account

3.1 Age and capacity. You must be at least 20 years old and have full legal capacity under Thai law to use the Platform, whether as an Owner or a Renter. A person under 20 may not open an account or use the Platform.

3.2 Accurate information. You must provide true, current and complete information, and keep it up to date. We may ask you to verify your identity and may refuse or suspend an account that cannot be verified.

3.3 Account security. You are responsible for all activity under your account and for keeping your login details confidential. Tell us immediately at dresswellth@gmail.com if you suspect unauthorised use.

3.4 One person, one account. You may not transfer your account or let another person use it.

4. Role of Dresswell

4.1 Technology intermediary. Dresswell provides an online marketplace and related technology that lets Owners and Renters find each other, communicate and conclude Rental Agreements. Dresswell does not own, possess, inspect, clean, store, deliver or rent any Item, unless we expressly state otherwise in writing for a specific service.

4.2 Not a party to the Rental Agreement. The Rental Agreement is made solely between the Owner and the Renter. Dresswell is not a party to it and is not a lessor, lessee, seller, bailee, depositary, insurer, guarantor or carrier of any Item.

4.3 No agency. Dresswell is not the agent, employee, partner or representative of any User, except as stated in Section 8.2 for the limited purpose of collecting payments. Users are independent of Dresswell and may not present themselves as acting on its behalf.

4.4 No verification or endorsement. We do not verify, and do not guarantee, the identity or conduct of Users, the truth of any Listing, the ownership, authenticity, quality, cleanliness, safety, size or fit of any Item, or that a Rental Agreement will be performed. Any identity check, rating, review or badge shown on the Platform is information only and is not a recommendation or warranty.

4.5 Optional tools. We may offer tools such as messaging, booking calendars, sample rental conditions, condition-photo records or dispute support. Offering these tools does not make Dresswell a party to any Rental Agreement and does not create a duty to supervise Users.

4.6 Your own judgment. You decide for yourself whether to deal with another User and on what conditions. You use the Platform and enter into each Rental Agreement at your own risk.

5. Owner warranties and obligations

If you list an Item, you represent, warrant and undertake that:

5.1 Right to rent. You own the Item or have full legal authority to rent it out, and renting it does not breach any contract or infringe any third party's rights.

5.2 Authenticity. The Item is genuine. You will not list counterfeit, stolen or unlawfully obtained goods, or goods that infringe any trademark, copyright or design right.

5.3 Accurate Listing. Your Listing is true, complete and not misleading, including brand, size, measurements, colour, condition, existing defects, replacement value, price, Deposit and any extra charges. Photographs show the actual Item.

5.4 Clean and safe. You will hand over the Item professionally cleaned or laundered, hygienic, free of pests and hazardous substances, in good repair and fit for ordinary wear. You will disclose known allergens or materials likely to cause a reaction, such as latex, nickel, fur or feathers.

5.5 Handover. You will deliver the Item on time and as described, and will record its condition with dated photographs at handover and at return.

5.6 Your terms. Any rental conditions you set must be lawful, fair and stated in the Listing before booking. They may not contradict these Terms.

5.7 Legal and tax compliance. You are solely responsible for all laws that apply to your rental activity, including consumer protection, product safety, any business registration required of you, and all taxes on your rental income.

5.8 Insurance. Dresswell does not insure Items. You decide whether to insure your Items and bear the risk if you do not.

6. Renter warranties and obligations

If you rent an Item, you represent, warrant and undertake that:

6.1 Proper use. You will use the Item only for ordinary personal wear, with the care a reasonable person takes of their own property, and will follow the Owner's care instructions.

6.2 Prohibited acts. You will not alter, tailor, cut, dye, repair, wash or dry-clean the Item unless the Owner agrees in writing. You will not sub-rent, lend, sell, pledge or otherwise dispose of the Item, or use it for any unlawful purpose.

6.3 Inspection at handover. You will inspect the Item on receipt and report any defect, damage or mismatch with the Listing to the Owner through the Platform within 24 hours of receipt, with photographs, and before wearing it. An Item not reported within that time is presumed to have been received as described, unless you prove otherwise.

6.4 Timely return. You will return the Item to the Owner on or before the end of the Rental Period, in the same condition as received apart from normal wear from ordinary use, by the return method agreed.

6.5 Risk during the Rental Period. From handover until the Owner receives the Item back, you are responsible for loss, theft or damage to the Item caused by your fault or by any person you allow to handle it, in line with the Civil and Commercial Code provisions on hire of property.

6.6 Health and suitability. You are responsible for deciding whether the Item is suitable for you, including size, fit and any allergy or skin sensitivity.

6.7 Compliance with law. You will comply with all applicable laws when using the Platform and the Item.

7. Bookings and the Rental Agreement

7.1 Formation. A Rental Agreement is formed directly between the Owner and the Renter when a booking is confirmed on the Platform. Its terms are the Listing, any conditions agreed between the two Users through the Platform, and the User obligations in these Terms.

7.2 Cancellations and refunds. Cancellations and refunds follow the [Cancellation and Refund Policy] and the conditions in the Listing. Dresswell's Service Fee is refundable only as that policy states.

7.3 Delivery. Users arrange handover and return between themselves or through a third-party courier. A courier is an independent service provider; Dresswell is not responsible for its acts, delays or losses.

7.4 Keep it on the Platform. To keep a reliable record, Users should communicate, book and pay through the Platform. Dresswell has no responsibility of any kind for dealings arranged or paid for outside the Platform.

8. Fees, payments and Deposits

8.1 Service Fee. Dresswell charges the Service Fee shown to you before you confirm a booking or publish a Listing. Prices include VAT where applicable unless stated otherwise.

8.2 Limited payment collection. [Payments are processed by licensed third-party payment service providers. Each Owner appoints Dresswell as its limited agent solely to collect the Renter's payment on the Owner's behalf through those providers and to pay it out to the Owner less the Service Fee. Payment by the Renter through the Platform discharges the Renter's payment obligation to the Owner for that amount.] This limited role does not make Dresswell a party to the Rental Agreement.

8.3 Deposits. [Where a Deposit is collected through the Platform, it is held through the payment provider and released under the Rental Agreement and Section 9.] A Deposit is the Renter's money held as security for the Owner. It is not income of, or a guarantee by, Dresswell.

8.4 Payment provider terms. Your use of a payment provider is subject to that provider's own terms. Dresswell is not liable for a payment provider's errors, outages or decisions, to the extent permitted by law.

8.5 Chargebacks and set-off. You authorise Dresswell to deduct from amounts payable to you any refund, chargeback or sum you owe under these Terms.

9. Damage, loss and late return

9.1 Between Owner and Renter. Any claim for damage, loss, theft, staining, alteration, missing parts, cleaning cost or late return is a claim between the Owner and the Renter under their Rental Agreement. Dresswell is not liable for it and does not guarantee that either User will pay.

9.2 Reporting. An Owner must report a claim through the Platform within 48 hours after the Item is returned, or after the return was due, with dated photographs and proof of the amount claimed.

9.3 Amount. The Renter's liability is limited to the reasonable cost of repair or cleaning or, if the Item cannot be restored or is not returned, its fair market value at the time of loss, not exceeding the replacement value stated in the Listing. Normal wear from ordinary use is not damage.

9.4 Late return. A late return is charged at the late fee stated in the Listing, which must be a reasonable estimate of the Owner's loss. An Item not returned within 7 days after the Rental Period ends may be treated by the Owner as lost.

9.5 Legal time limit. Owners should note that under the Civil and Commercial Code a lessor's claim against a hirer must be brought within six months after the property is returned.

9.6 Criminal matters. Suspected theft, fraud or embezzlement is a matter for the affected User to report to the police. Dresswell may cooperate with a lawful request from the authorities.

10. Disclaimers

10.1 Platform provided "as is". To the maximum extent permitted by law, the Platform is provided "as is" and "as available". We do not warrant that it will be uninterrupted, error-free or secure, or that any Listing, review or User content is accurate.

10.2 No warranty on Items or Users. To the maximum extent permitted by law, Dresswell gives no warranty, express or implied, about any Item, Listing, User or Rental Agreement, including as to ownership, authenticity, quality, cleanliness, safety, fitness for a purpose, or timely delivery or return.

10.3 User content. Listings, photographs, messages and reviews are created by Users. Dresswell does not create or pre-approve them and is not responsible for them. We may remove content that we are notified, or reasonably believe, is unlawful or in breach of these Terms.

11. Limitation of liability

11.1 What we do not exclude. Nothing in these Terms excludes or limits Dresswell's liability for (a) death, bodily injury or harm to health caused by Dresswell's own intentional or negligent act; (b) Dresswell's own fraud or gross negligence; or (c) any other liability that cannot be excluded or limited under Thai law, including the Civil and Commercial Code, the Unfair Contract Terms Act B.E. 2540 (1997) and the Consumer Protection Act B.E. 2522 (1979). Sections 10, 11 and 12 apply subject to this Section 11.1.

11.2 Matters for which Dresswell is not liable. Subject to Section 11.1 and to the maximum extent permitted by law, Dresswell, its affiliates, directors, officers, employees and agents are not liable to any User for loss or damage arising from:

  1. Property. Loss, theft, damage, staining, tearing, alteration or destruction of any Item, or its non-return or late return.

  2. Personal injury and hygiene. Injury, allergic reaction, skin irritation, infection or other health effect arising from wearing or using an Item.

  3. Breach by a User. Any User's breach of a Rental Agreement, including non-delivery, late delivery, cancellation, non-payment, or an Item that is defective or not as described.

  4. Fraud and misrepresentation by a User. Fraud, impersonation, false Listings, counterfeit or stolen Items, or any other unlawful or dishonest conduct of a User or third party.

  5. Third-party services. Acts or omissions of couriers, payment providers, cleaners or other third parties.

  6. Off-Platform dealings. Any dealing, communication or payment arranged outside the Platform.

  7. Events beyond our control. Interruption, delay or failure caused by events beyond our reasonable control, including network or system failure, natural disaster, epidemic, or acts of government.

11.3 No indirect loss; overall cap. Subject to Section 11.1 and to the maximum extent permitted by law:

  8. Dresswell is not liable for indirect, special, punitive or consequential loss, including loss of profit, loss of opportunity, a missed event or occasion, loss of data, or emotional distress.

  9. Dresswell's total liability to you for all claims arising out of or relating to these Terms or the Platform, whether in contract, tort or otherwise, is limited to the greater of (a) the Service Fees you paid to Dresswell in the 12 months before the event giving rise to the claim, and (b) THB 3,000.

11.4 Fair allocation of risk. You acknowledge that Dresswell charges only a Service Fee for a technology service, does not take possession of Items and does not control Users, and that the limits in this Section are a fair and reasonable allocation of risk in light of that.

11.5 Release. To the maximum extent permitted by law, you release Dresswell from claims and demands arising out of a dispute between you and another User, subject to Section 11.1.

12. Indemnification

12.1 Your indemnity. You agree to defend, indemnify and hold harmless Dresswell, its affiliates, and their directors, officers, employees and agents from and against all claims, demands, liabilities, damages, losses, fines, costs and expenses, including reasonable lawyers' fees and court costs, arising out of or relating to:

  1. your breach of these Terms or of any warranty in them;

  2. your Listing, your Item or your content, including any claim that an Item is counterfeit, stolen, unsafe or unclean, or infringes a third party's rights;

  3. your Rental Agreement and any dispute or claim between you and another User, whether brought by a Renter, an Owner or a third party;

  4. property damage, loss, personal injury or death caused by an Item you listed, or by your use or misuse of an Item you rented;

  5. your violation of any law or of any third party's rights, including unpaid taxes on your rental income; or

  6. your fraud, wilful misconduct or negligence.

12.2 Limits. Your indemnity does not apply to the extent a loss is caused by Dresswell's own fraud, wilful misconduct or negligence. It applies only to the extent permitted by law.

12.3 Procedure. We will notify you of any claim covered by this Section within a reasonable time. We may take control of the defence and settlement of the claim at your expense, and you will cooperate as we reasonably request. You may not settle a claim in a way that imposes liability or an admission on Dresswell without our prior written consent.

12.4 Recovery. We may recover amounts due under this Section by deducting them from sums payable to you through the Platform, without limiting our other remedies.

13. Dispute resolution

13.1 Disputes between Users. A dispute between an Owner and a Renter, including over damage, loss, late return, non-delivery, refunds or Deposits, must be handled in the following order before either User starts court proceedings against the other:

  1. Direct negotiation. The complaining User notifies the other through the Platform with supporting evidence. Both Users must try in good faith to settle within 7 days.

  2. Platform support. If unresolved, either User may ask for Dresswell's in-app dispute support within 14 days of the first notice. Dresswell may, but need not, review the evidence and give a non-binding recommendation. [Where a Deposit or payment is still held through the Platform, both Users authorise Dresswell to instruct its release in line with that recommendation, without prejudice to either User's right to claim against the other.]

  3. Mediation. If still unresolved, the Users must attempt mediation, either under the Dispute Mediation Act B.E. 2562 (2019) or through court-annexed pre-filing mediation under the Civil Procedure Code, before filing a lawsuit.

13.2 Dresswell's limited role. In providing dispute support, Dresswell acts as a neutral facilitator. It is not a judge or arbitrator, has no duty to resolve any dispute, and is not liable for a recommendation given in good faith. Users must not name Dresswell as a party to a dispute that is between Users.

13.3 Disputes with Dresswell. If you have a complaint against Dresswell, you must first send written notice to dresswellth@gmail.com with details of the claim. Both sides will try in good faith to settle within 30 days. If the matter is not settled, either side may propose mediation before starting proceedings.

13.4 Rights not affected. This Section does not prevent a User from seeking urgent interim relief from a court, from reporting a crime to the police, or from filing a complaint with the Office of the Consumer Protection Board or another competent authority. It does not remove any right a consumer has under mandatory law.

13.5 Time limits. Legal time limits continue to run during negotiation and mediation except where the law provides otherwise. Each User is responsible for protecting their own position.

14. Governing law and jurisdiction

14.1 Governing law. These Terms, and any dispute arising out of or relating to them or to the Platform, are governed by and interpreted under the laws of the Kingdom of Thailand.

14.2 Courts. Subject to Section 13, disputes are submitted to the courts of Thailand having jurisdiction under Thai law.

15. Prohibited conduct, suspension and termination

15.1 Prohibited conduct. You must not: post false or misleading content; list counterfeit, stolen, unsafe or unlawful Items; harass or defraud other Users; manipulate reviews; avoid the Service Fee; collect other Users' data; interfere with the Platform's security or operation; or use the Platform for any unlawful purpose.

15.2 Our rights. We may remove content, cancel a booking, withhold a payout pending investigation, or suspend or close your account, where we reasonably believe you have breached these Terms, where required by law, or where needed to protect Users or the Platform. Where practical we will give you notice and reasons.

15.3 Your right to leave. You may close your account at any time after completing your outstanding Rental Agreements and paying any sums due.

15.4 Effect. Termination does not affect rights and obligations that arose before it. Sections 4 and 9 to 14 and Section 18 continue to apply after termination.

16. Changes to these Terms

16.1 We may amend these Terms. For a material change we will notify you in the app at least 15 days before it takes effect and ask you to accept the new version.

16.2 If you do not accept, you may close your account; you may not continue to use the Platform after the effective date. A Rental Agreement already confirmed remains subject to the version in force when it was confirmed.

17. Personal data and intellectual property

17.1 Personal data. We collect and use personal data as described in the [Privacy Policy], under the Personal Data Protection Act B.E. 2562 (2019). You must use another User's personal data only to perform your Rental Agreement.

17.2 Our intellectual property. The Platform, its software, design and trademarks belong to Dresswell or its licensors. We grant you a limited, revocable, non-transferable right to use the Platform under these Terms.

17.3 Your content. You keep ownership of content you upload. You grant Dresswell a non-exclusive, royalty-free, worldwide licence to host, display, reproduce and adapt it to operate and promote the Platform, for as long as it remains on the Platform and for a reasonable period after. You warrant that you have the right to grant this licence.

18. General

18.1 Language. These Terms are made in Thai and English. If the two versions differ, the Thai version prevails.

18.2 Entire agreement. These Terms and the documents referred to in Section 1.5 are the entire agreement between you and Dresswell about the Platform.

18.3 Severability. If a court finds any provision void, unenforceable or unfair, that provision applies to the maximum extent the court finds fair and reasonable, and the remaining provisions stay in full effect.

18.4 No waiver. A delay or failure by Dresswell to enforce a right is not a waiver of that right.

18.5 Assignment. You may not assign your rights or obligations under these Terms without our written consent. We may assign ours to an affiliate or to a successor of our business, with notice to you, provided your rights under these Terms are not reduced.

18.6 Notices. We may give you notice in the app, or by email or telephone number registered to your account. You may give us notice at dresswellth@gmail.com or 60/4 Moo 7, Bang Chalong Sub-district, Bang Phli District, Samut Prakan 10540, Thailand.
